GENERAL TERMS AND CONDITIONS OF ZYNCEO

Article 1. Definitions
1.1 Zyncport B.V.
The private limited liability company Zyncport B.V., having its registered office at Spoorstraat 35b, 8271 RG IJsselmuiden, the Netherlands, registered with the Dutch Chamber of Commerce under number 42002045, with VAT identification number NL869230888B01, trading under the name Zynceo.
1.2 Zynceo
The SaaS platform for AI-powered SEO content creation, blog automation, content optimisation, internal linking, translations and Shopify integrations, offered by Zyncport B.V.
1.3 User
Any natural person or legal entity acting in the course of a profession or business that creates an Account, installs the Shopify app, enters into a Subscription or uses the Service.
1.4 Parties
Zyncport B.V. and the User jointly.
1.5 Service
All functionalities made available through Zynceo, including AI content generation, automated blog publication, Shopify integrations, translation modules, SEO analysis, topic clusters, internal link optimisation, content calendars, content planning, content optimisation, reporting, image generation and related tools.
1.6 Content
All texts, blog articles, metadata, titles, descriptions, images, prompts, output, drafts, translations, analyses and other materials entered, generated, processed, stored or published through the Service.
1.7 User Content
All data, texts, product information, brand information, store data, images, instructions, prompts and other materials supplied by the User or made available through a connected Shopify Store.
1.8 Generated Content
All output generated by or through the Service, including AI-generated texts, blog articles, SEO titles, meta descriptions, translations, summaries, images, internal link suggestions and content recommendations.
1.9 Account
Access to the Service linked to a User, Organisation, email address, Shopify Store, Subscription and any Team Members.
1.10 Organisation
The business or legal entity on whose behalf an Account is used and to which one or more Accounts, Team Members and Shopify Stores may be linked.
1.11 Organisation Administrator
The User with the highest administrative permissions within an Organisation.
1.12 Team Member
An employee, director, freelancer, contractor, agency or other person granted access to the Account or Organisation by the User.
1.13 Subscription
The free or paid plan purchased by the User, including its associated features, Usage Limits, term, support level and fees.
1.14 Add-on
An additional paid feature, module, Usage Limit, Team Member, Shopify Store, market, language, credit bundle or other extension purchased in addition to a Subscription.
1.15 AI Credit
An internal unit used to measure the use of certain AI functionalities. An AI Credit has no monetary value and cannot be exchanged for money.
1.16 Usage Charges
Variable charges resulting from usage exceeding included limits or from functionalities charged separately based on usage.
1.17 Usage Limit
A maximum applicable to a Subscription or Add-on, including a maximum number of AI Credits, articles, images, optimisations, stores, markets, Team Members, languages, API calls, publications or synchronisations.
1.18 Billing Period
The period over which a Subscription, Add-on or Usage Charges are calculated. A monthly Billing Period through Shopify is generally 30 days, unless Shopify or the selected pricing model applies a different period.
1.19 AI Models
The underlying language models, image models, embedding models, classification models and other AI systems used by Zyncport B.V. for the Service.
1.20 Shopify Store
The online store or stores of the User connected to the Service through Shopify, OAuth, webhooks or a Shopify API.
1.21 Autopilot
The functionality through which Content can be generated, assessed, scheduled, stored or published automatically.
1.22 Shopify Billing
Shopify App Pricing, the Shopify Billing API and other systems permitted by Shopify through which app charges are approved and invoiced by Shopify.
1.23 Third Parties
All persons, companies, platforms, suppliers, API providers, hosting providers, payment providers, AI providers or other parties that are not part of Zyncport B.V. or the User.
1.24 Subprocessor
A Third Party engaged by Zyncport B.V. to process personal data for the purpose of providing the Service.
1.25 In Writing
Communication by letter, email, support ticket, dashboard notification or other electronic communication whose content can be stored and consulted at a later time.
Article 2. Applicability and acceptance
2.1 These General Terms and Conditions apply to all use of the Service, every Account, Subscription, Add-on and every agreement between Zyncport B.V. and the User.
2.2 The Service is offered exclusively to persons and organisations acting in the course of a profession or business.
2.3 By creating an Account, installing the app, approving a paid plan through Shopify, activating an Add-on or using the Service, the User accepts these General Terms and Conditions.
2.4 The User declares that it is authorised to accept these General Terms and Conditions on behalf of the relevant Organisation, business and Shopify Store.
2.5 Zyncport B.V. may record acceptance, including the date, time, version of the terms, email address, Organisation, Shopify Store and technical information required to demonstrate acceptance.
2.6 Deviations only apply if agreed by the Parties In Writing.
2.7 General terms, purchasing conditions or other terms of the User do not apply unless expressly accepted In Writing by Zyncport B.V.
2.8 In the event of a conflict, the following order of precedence applies:
a. a separate agreement signed by the Parties;
b. a separate data processing agreement;
c. a separate service level agreement;
d. the terms of the selected Subscription or Add-on;
e. these General Terms and Conditions;
f. other Zynceo documentation.
2.9 If a provision is invalid, voidable or unenforceable, the remaining provisions remain in force.
2.10 The Parties shall replace an invalid provision with a valid provision that reflects its purpose and intent as closely as possible.
Article 3. Account, Organisation and access
3.1 The User is responsible for creating, managing and securing the Account.
3.2 The User guarantees that all information provided is accurate, complete and current.
3.3 The User is responsible for keeping passwords, API keys, tokens and other access credentials confidential.
3.4 The User is responsible for all activities carried out through the Account and by Team Members.
3.5 If an Account is created on behalf of a business or Organisation, the business Account belongs to that business or Organisation and not personally to the employee, freelancer or agency that created the Account.
3.6 The Organisation Administrator may add and remove Team Members and change their permissions.
3.7 The User must immediately revoke access from a Team Member when that Team Member is no longer authorised to use the Service.
3.8 A Team Member may only be granted access to the extent permitted by the active Subscription.
3.9 The User may not share an Account with persons who are not registered as Team Members or are not authorised to act on behalf of the User.
3.10 In the event of a dispute regarding ownership or management of an Account, Zyncport B.V. may request evidence of:
a. ownership or control of the Shopify Store;
b. authority to represent the Organisation;
c. registration with the Chamber of Commerce;
d. access to the business email address or Shopify account;
e. an employment agreement, engagement letter or other relevant agreement.
3.11 Zyncport B.V. may temporarily block access while a dispute regarding Account management or ownership remains unresolved.
3.12 Zyncport B.V. is not required to take sides in internal disputes within the Organisation.
3.13 Zyncport B.V. may restrict, suspend or terminate access in the event of suspected misuse, fraud, security risks, non-payment or breach of these General Terms and Conditions.
Article 4. Provision and availability of the Service
4.1 Zyncport B.V. provides the Service as a SaaS solution through the internet.
4.2 Zyncport B.V. is subject to an obligation of reasonable efforts and not an obligation to achieve a specific result, unless agreed otherwise In Writing.
4.3 Zyncport B.V. aims for annual availability of 99.5 percent.
4.4 The following are excluded when calculating availability:
a. scheduled maintenance;
b. emergency maintenance;
c. force majeure;
d. disruptions involving Shopify, AI providers or other Third Parties;
e. errors in the systems, devices or connections of the User;
f. suspension due to misuse or non-payment.
4.5 Zyncport B.V. does not guarantee that the Service will always operate without errors, interruptions, security issues or data loss.
4.6 The Service is provided based on the state of technology and as available at the time of use.
4.7 Zyncport B.V. may modify, improve, expand, restrict or replace parts of the Service.
4.8 Zyncport B.V. shall not materially reduce the core functionality of an active paid Subscription without reasonable grounds.
4.9 Zyncport B.V. may offer functionalities as beta, preview, experimental or early access features.
4.10 No guarantees apply to beta, preview or experimental functionalities regarding operation, availability, completeness or continued support.
4.11 Zyncport B.V. may perform temporary maintenance, install updates, carry out migrations and implement security measures.
4.12 Scheduled maintenance will, where reasonable, be communicated in advance by email, dashboard notification or status page.
4.13 The User understands that the Service depends on Shopify, AI providers, hosting providers, databases, email providers, internet connections and other Third Parties.
4.14 Zyncport B.V. is not liable for disruptions, restrictions or delays caused by Third Parties.
Article 5. AI-generated Content
5.1 The Service uses AI Models to generate, rewrite, translate, analyse and optimise Content.
5.2 Zyncport B.V. does not guarantee that Generated Content:
a. is accurate or complete;
b. is current;
c. is unique or original;
d. is free from errors;
e. is legally permitted;
f. is free from intellectual property rights of Third Parties;
g. is suitable for its intended purpose;
h. is commercially usable;
i. meets the tone of voice or quality expectations of the User.
5.3 The User is responsible for reviewing, editing and approving Generated Content before publication or commercial use.
5.4 The User is responsible for compliance with laws and regulations relating to Content, including copyright, trademark law, trade name law, advertising rules, consumer law, privacy law and rules concerning unfair commercial practices.
5.5 Zyncport B.V. is not liable for claims, fines, damages, loss of revenue, reputational damage or costs resulting from Generated Content.
5.6 AI Models may generate different output from identical or similar input.
5.7 Zyncport B.V. does not guarantee consistent, reproducible or identical results.
5.8 Zyncport B.V. does not guarantee that Generated Content will not overlap with existing content.
5.9 The User may not use the Service to knowingly generate illegal, misleading, harmful, discriminatory, hateful, pornographic, fraudulent or infringing Content.
5.10 The User must perform additional checks for Content concerning regulated or sensitive subjects, including:
a. medical products and medical claims;
b. supplements;
c. financial information and financial products;
d. legal information;
e. safety and security;
f. products or services for children;
g. weapons;
h. adult content;
i. gambling;
j. alcohol, tobacco and drugs;
k. other regulated markets.
5.11 Zyncport B.V. may modify AI Models, suppliers, system prompts, workflows and content logic to improve quality, safety, availability, cost control and legal compliance.
5.12 The User understands that a quality check, score or approval threshold within Zynceo is a technical aid and does not guarantee that Content is accurate, suitable or legally compliant.
Article 6. Autopilot and automated publication
6.1 Autopilot may automatically generate, assess, schedule, store and publish Content.
6.2 By enabling Autopilot, the User authorises Zyncport B.V. to perform actions on behalf of the User within the connected Shopify Store.
6.3 Depending on the selected settings, this authorisation includes:
a. creating Content;
b. modifying Content;
c. storing drafts;
d. scheduling publications;
e. publishing Content;
f. adding internal links;
g. processing images;
h. translating Content.
6.4 The User is responsible for the settings of Autopilot, including:
a. publication frequency;
b. language;
c. target blog;
d. category;
e. subject;
f. tone of voice;
g. publication status;
h. internal links;
i. quality thresholds;
j. content rules.
6.5 The User may set a minimum quality score above which Content may be published automatically.
6.6 If the User selects automatic publication above a selected score, the User accepts that Content may be published without prior manual review.
6.7 A quality score is based on automated checks and does not guarantee accuracy, suitability or legal compliance.
6.8 The User remains responsible for all Content published through Autopilot, including Content that the User has not reviewed in advance.
6.9 The User may disable Autopilot through the settings, provided the Account is active and accessible.
6.10 Content already published remains in the Shopify Store until the User removes or changes it.
6.11 Zyncport B.V. may temporarily disable or restrict Autopilot in the event of:
a. technical errors;
b. security risks;
c. incorrect publications;
d. excessive usage;
e. misuse;
f. insufficient AI Credits;
g. reaching a Usage Limit;
h. restrictions imposed by Shopify or an AI provider;
i. risk of damage.
6.12 The User is responsible for backups, exports and monitoring of the Shopify Store and published Content.
Article 7. Shopify integration and external connections
7.1 The Service integrates with Shopify through Shopify APIs, OAuth, webhooks and other technical connections.
7.2 The User grants Zyncport B.V. the necessary access, scopes, tokens and permissions.
7.3 The User guarantees that it is authorised to connect the relevant Shopify Store.
7.4 The User is responsible for the operation, management and security of its own Shopify Store.
7.5 This responsibility includes:
a. products;
b. prices;
c. inventory;
d. collections;
e. blogs and pages;
f. themes;
g. apps;
h. markets;
i. languages;
j. user permissions;
k. store settings.
7.6 Zyncport B.V. is not liable for damage caused by:
a. changes to Shopify APIs;
b. limitations or disruptions involving Shopify;
c. conflicts with other apps;
d. theme modifications;
e. revoked or changed access permissions;
f. incorrect store settings;
g. changes made by the User or Third Parties.
7.7 If Shopify revokes, restricts or blocks access, Zyncport B.V. may be unable to provide all or part of the Service.
7.8 A restriction imposed by Shopify does not entitle the User to compensation from Zyncport B.V.
7.9 Zyncport B.V. may synchronise data from the Shopify Store to the extent required for the Service.
7.10 This data may include:
a. products and variants;
b. collections;
c. blogs and articles;
d. pages;
e. images;
f. metadata and metafields;
g. languages and markets;
h. store settings;
i. technical identifiers.
7.11 The User remains responsible for the accuracy, legality and currency of synchronised data.
7.12 Zyncport B.V. may modify, temporarily disable or remove external integrations when required for security, stability, compliance or technical operation.
Article 8. Intellectual property, data and AI training
8.1 All rights relating to the Service remain the property of Zyncport B.V. or its licensors.
8.2 This includes rights relating to:
a. software and source code;
b. algorithms;
c. workflows;
d. system prompts;
e. designs;
f. documentation;
g. trademarks and trade names;
h. databases;
i. dashboards;
j. templates;
k. trade secrets.
8.3 For the duration of the active Subscription, the User receives a limited, non-exclusive, non-transferable and non-sublicensable right to use the Service.
8.4 The User may not copy, reverse engineer, decompile, scrape, resell, rent out or disclose the Service.
8.5 The User retains all rights to User Content.
8.6 The User grants Zyncport B.V. a limited, non-exclusive licence to process, store, analyse, display and modify User Content to the extent required for:
a. providing the Service;
b. security;
c. support;
d. error resolution;
e. compliance with legal obligations;
f. improving the operation of the Service.
8.7 User Content may be transmitted to AI providers and other Subprocessors to the extent required to perform a functionality requested by the User.
8.8 Zyncport B.V. does not use identifiable User Content for the general training of its own generative AI Models unless the User gives separate and explicit consent.
8.9 Zyncport B.V. does not authorise external AI providers to use identifiable User Content for general model training unless:
a. the User has given explicit consent;
b. this is necessary for a specific product selected by the User;
c. this has been clearly communicated to the User in advance.
8.10 Zyncport B.V. may use anonymised and aggregated data for:
a. product improvement;
b. statistics;
c. benchmarking;
d. security;
e. research;
f. capacity planning;
g. error detection.
8.11 To the extent legally permitted and transferable, the User obtains the rights to Generated Content created specifically for the User.
8.12 Zyncport B.V. does not guarantee that Generated Content is protected by copyright.
8.13 Zyncport B.V. does not guarantee that the User can claim exclusive rights to Generated Content.
8.14 Zyncport B.V. does not guarantee that Generated Content does not infringe the rights of Third Parties.
8.15 Zyncport B.V. does not share confidential or identifiable store data with other users, except where required to provide the Service or comply with the law.
Article 9. Subscriptions, Add-ons and Shopify Billing
9.1 The Service may be offered through free, monthly, annual and custom Subscriptions.
9.2 Each Subscription includes its own features, Usage Limits, rights, support levels and fees.
9.3 All amounts are exclusive of VAT and other taxes, unless expressly stated otherwise.
9.4 For Accounts using the public Shopify app, all app-related payments are processed through Shopify Billing.
9.5 Zyncport B.V. uses Shopify App Pricing, the Shopify Billing API or another payment system permitted by Shopify.
9.6 Zyncport B.V. does not use an external payment method for app-related Subscriptions, Add-ons and Usage Charges for the public Shopify app unless expressly permitted by Shopify.
9.7 The User must approve each recurring payment, one-time payment, usage limit and relevant price change to the extent required by Shopify.
9.8 Shopify may include Subscriptions, Add-ons, Usage Charges and adjustments on the Shopify invoice of the User.
9.9 The Shopify invoicing date may differ from the date on which the User activated the Subscription or Add-on.
9.10 Zyncport B.V. is not responsible for the general billing cycle, payment methods or account settings of the Shopify account of the User.
9.11 An Add-on is purchased on a monthly basis.
9.12 For billing through Shopify, a monthly Billing Period is generally 30 days, unless Shopify applies a different period.
9.13 An Add-on renews automatically for as long as:
a. the Add-on is active;
b. the app remains installed;
c. payment has been approved through Shopify;
d. the User has not terminated the Add-on.
9.14 The User may terminate an Add-on through the available settings or by contacting Zyncport B.V.
9.15 Termination of an Add-on takes effect at the end of the current Billing Period, unless Shopify applies a different procedure.
9.16 Charges for a partially used Billing Period are not refunded on a pro rata basis, unless Zyncport B.V. decides otherwise In Writing or Shopify applies an automatic adjustment.
Article 10. AI Credits, Usage Limits and additional usage
10.1 Usage Limits are linked to the selected Subscription and activated Add-ons.
10.2 Usage Limits may apply to:
a. AI Credits;
b. blogs;
c. images;
d. product optimisations;
e. collection optimisations;
f. alt texts;
g. translations;
h. connected stores;
i. Shopify markets;
j. Team Members;
k. API calls;
l. synchronisations;
m. publications.
10.3 Unused AI Credits expire at the end of the Billing Period, unless the relevant Subscription expressly states that credits are carried over.
10.4 AI Credits may not be transferred, sold or exchanged for money.
10.5 An AI Credit is considered used once the requested AI processing has started and external model capacity or computing power has been used.
10.6 Dissatisfaction with the content, style, score or quality of Generated Content does not automatically entitle the User to a refund of AI Credits.
10.7 If no usable output is delivered due to a demonstrable technical error within Zynceo, Zyncport B.V. may restore the AI Credits used.
10.8 Zyncport B.V. determines, based on technical logs, whether a technical error occurred.
10.9 When a Usage Limit is reached, Zyncport B.V. may:
a. temporarily block the relevant functionality;
b. offer additional AI Credits or an Add-on;
c. charge Usage Charges;
d. require the User to select a higher plan;
e. postpone processing until the next Billing Period.
10.10 Additional Usage Charges are only charged within the conditions and spending limit approved by the User through Shopify.
10.11 Once the approved spending limit has been reached, Zyncport B.V. may restrict functionalities until:
a. a new Billing Period starts;
b. the User increases the limit;
c. the User activates an Add-on or higher Subscription.
10.12 Zyncport B.V. may apply reasonable technical rounding when measuring tokens, images, API calls and other usage units.
10.13 The usage records and technical logs of Zyncport B.V. serve as the basis for calculations, unless the User demonstrates with reasons that those records are incorrect.
Article 11. Fee changes and increasing AI costs
11.1 Zyncport B.V. may change the fees for Subscriptions, Add-ons and Usage Charges.
11.2 A regular fee change will be communicated In Writing at least 30 days in advance.
11.3 Where reasonable, the communication will include:
a. the new fee;
b. the effective date;
c. the relevant Subscription or Add-on;
d. the consequences for the User.
11.4 A new monthly fee takes effect at the first Billing Period following the announced effective date.
11.5 The fixed price of a prepaid annual Subscription will not be increased during the current annual Billing Period.
11.6 A new fixed price for an annual Subscription takes effect upon the next annual renewal.
11.7 Article 11.5 does not apply to:
a. variable Usage Charges;
b. new Add-ons;
c. usage exceeding included limits;
d. taxes or charges that must be invoiced separately.
11.8 The Service depends on external AI providers, API providers, hosting providers and other technical suppliers.
11.9 These suppliers may change their fees, pricing structures, exchange rates, terms of use and included limits.
11.10 Zyncport B.V. may pass demonstrable increases in external AI costs on to the User in full or in part.
11.11 Such increases may be passed on by adjusting:
a. Subscription fees;
b. Add-on fees;
c. AI Credit prices;
d. additional usage fees;
e. included AI limits;
f. the number of credits required for processing.
11.12 An increase resulting from higher AI costs will be communicated at least 30 days in advance and takes effect at the start of the next Billing Period.
11.13 The User may terminate the relevant Subscription or Add-on before the effective date if the User does not accept the increase.
11.14 If an external supplier immediately introduces an unexpected price increase, restriction or change, Zyncport B.V. may temporarily restrict or suspend the relevant functionality.
11.15 Zyncport B.V. will inform the User before charging higher costs outside the Shopify limit already approved by the User.
11.16 Zyncport B.V. may never apply a higher Shopify spending limit without the required approval of the User.
Article 12. Trials, upgrades and downgrades
12.1 Zyncport B.V. may offer free trial periods.
12.2 A trial period may be used once per User, Organisation or Shopify Store, unless stated otherwise in the offer.
12.3 Creating multiple Accounts or Shopify Stores for the purpose of receiving multiple trial periods is prohibited.
12.4 Zyncport B.V. may restrict or terminate a trial period in the event of misuse, fraud or breach of these General Terms and Conditions.
12.5 After the trial period ends, the selected paid Subscription becomes active if the User approved that Subscription through Shopify in advance.
12.6 The User may cancel before the end of the trial period to prevent future Subscription fees.
12.7 An upgrade may take effect immediately.
12.8 Shopify may apply a pro rata adjustment to an upgrade or start a new Billing Period.
12.9 A downgrade generally takes effect at the end of the current Billing Period, unless Shopify applies a different adjustment.
12.10 A downgrade may make certain functionalities, limits and integrations unavailable.
12.11 If current usage exceeds the limits of the lower plan, Zyncport B.V. may:
a. restrict functionalities;
b. block new processing;
c. make certain components read-only;
d. require the User to reduce usage first;
e. offer additional Add-ons.
12.12 Zyncport B.V. will not immediately delete existing User Content following a downgrade without prior notice, unless deletion is required for security, legal or technical reasons.
Article 13. Cancellation, app removal and refunds
13.1 The User may cancel a Subscription through the available settings, through Shopify or by contacting Zyncport B.V. In Writing.
13.2 Where Shopify Billing is used, cancellation is processed according to the technical procedures and billing cycle of Shopify.
13.3 Following cancellation, access generally remains active until the end of the current Billing Period.
13.4 Removing the Shopify app terminates Zynceo’s access to the Shopify Store.
13.5 Removing the app may terminate the active Shopify app Subscription according to Shopify procedures.
13.6 Subscription fees, Usage Charges, approved charges and outstanding amounts already incurred remain payable.
13.7 Outstanding or previously created app charges may still appear on a Shopify invoice after the app has been removed.
13.8 The User is responsible for checking outstanding charges in the Shopify account.
13.9 Amounts already paid are not refunded, unless:
a. mandatory law requires a refund;
b. Shopify applies an automatic adjustment;
c. Zyncport B.V. agrees to a refund In Writing.
13.10 Unused time, AI Credits, functionalities or capacity do not automatically entitle the User to a refund.
13.11 Zyncport B.V. may immediately suspend or terminate the Account in the event of:
a. breach of these General Terms and Conditions;
b. misuse of the Service;
c. fraudulent, unlawful or harmful use;
d. non-payment;
e. security risks;
f. unauthorised access;
g. breach of Shopify rules;
h. breach of terms imposed by AI providers;
i. use that harms other users or the Service.
13.12 If Zyncport B.V. terminates the Account due to a serious breach, the User is not entitled to a refund.
13.13 Content already published to Shopify remains in the Shopify Store until the User removes it.
13.14 After the app has been removed, Zyncport B.V. is not required to remove published Shopify Content on behalf of the User.
Article 14. No revenue, performance or SEO guarantee
14.1 Zyncport B.V. does not guarantee that the Service will result in:
a. increased revenue;
b. increased traffic;
c. higher search engine rankings;
d. improved conversion rates;
e. more leads;
f. more orders;
g. improved indexing;
h. lower marketing costs;
i. any other commercial result.
14.2 SEO results depend on factors beyond the control of Zyncport B.V.
14.3 These factors include:
a. domain authority;
b. competition;
c. search algorithms;
d. technical SEO;
e. backlinks;
f. content quality;
g. publication frequency;
h. website performance;
i. user behaviour;
j. market conditions.
14.4 Recommendations, scores, analyses, forecasts and suggestions are tools and do not constitute guarantees.
14.5 The User remains responsible for business, commercial, marketing and legal decisions.
14.6 Zyncport B.V. is not liable for loss of rankings, traffic, indexing, revenue, leads, conversions or visibility.
Article 15. Obligations of the User
15.1 The User must ensure that the Shopify Store is configured correctly.
15.2 The User must provide the required API scopes, access rights and settings.
15.3 The User is responsible for the accuracy, completeness and currency of:
a. product data;
b. collection data;
c. prices;
d. inventory;
e. images;
f. blogs;
g. languages;
h. brand information;

15.4 The User must report disruptions, errors, incorrect publications, security incidents and unauthorised use as soon as possible.
15.5 The User may only use the Service for lawful business purposes.
15.6 The User may not act in breach of:
a. laws and regulations;
b. rights of Third Parties;
c. Shopify rules;
d. AI policies of suppliers;
e. these General Terms and Conditions.
15.7 The User may not provide incorrect, misleading, infringing, harmful or unlawful data.
15.8 The User must verify whether published Content is appropriate for:
a. its products;
b. its target audience;
c. the relevant market;
d. applicable law;
e. its brand identity;
f. commercial claims.
15.9 The User is responsible for Team Members and other persons with access to the Account.
15.10 The User must inform Zyncport B.V. if the use of the Service creates additional risks due to regulated products, sensitive personal data or international compliance requirements.
15.11 The User may only enter personal data and confidential information where this is necessary, lawful and permitted.
Article 16. Prohibited use
16.1 The Service may not be used for:
a. illegal, misleading, discriminatory, hateful, violent, pornographic, fraudulent or harmful Content;
b. infringement of copyrights, trademark rights, trade name rights, database rights, portrait rights or privacy rights;
c. circumventing Usage Limits, security measures or payment obligations;
d. creating multiple Accounts to circumvent trials or limits;
e. scraping, crawling, reverse engineering, copying or disrupting the Service;
f. credential stuffing, brute force attacks, spam, phishing or other security attacks;
g. reselling or sublicensing the Service without permission;
h. using the Service for clients of the User where the active plan does not allow this;
i. publishing large volumes of spam content;
j. breaching the terms of use of AI providers;
k. activities that Zyncport B.V. reasonably considers too risky or harmful.
16.2 In the event of a breach, Zyncport B.V. may immediately restrict, suspend or terminate the Account.
16.3 Zyncport B.V. may investigate suspicious activities and take technical measures.
16.4 Zyncport B.V. may refuse Content or instructions where processing may breach laws, supplier terms or security policies.
Article 17. Privacy, GDPR and Subprocessors
17.1 Zyncport B.V. processes personal data in accordance with the General Data Protection Regulation, its privacy policy and applicable privacy legislation.
17.2 The User is the controller for personal data of its own customers, visitors, employees and contacts processed through the Shopify Store or the Service.
17.3 Zyncport B.V. acts as processor where it processes personal data on behalf of the User.
17.4 The data processing agreement forms part of the agreement where Zyncport B.V. processes personal data as processor.
17.5 The User accepts the data processing agreement to the extent it applies.
17.6 The User is responsible for:
a. privacy notices;
b. cookie notices;
c. consents;
d. retention periods;
e. data subject rights;
f. information obligations;
g. lawful bases for processing.
17.7 Zyncport B.V. processes personal data to the extent required for:
a. providing the Service;
b. security;
c. support;
d. invoicing;
e. improvement;
f. legal obligations.
17.8 Zyncport B.V. may engage Subprocessors for:
a. hosting;
b. database management;
c. AI processing;
d. email;
e. analytics;
f. support;
g. billing;
h. monitoring;
i. security.
17.9 A current list of Subprocessors will be made available through www.zynceo.com or provided on request.
17.10 The User grants general authorisation for the engagement of Subprocessors.
17.11 Zyncport B.V. enters into appropriate data protection arrangements with Subprocessors.
17.12 Zyncport B.V. will inform the User in advance of a material addition or replacement of a Subprocessor.
17.13 Notification may take place by email, dashboard notification or a change log.
17.14 The User may raise a reasoned objection within 14 days after notification if the change creates a demonstrable data protection risk.
17.15 The Parties will attempt to find a reasonable solution to a valid objection.
17.16 If no reasonable solution is available, Zyncport B.V. may discontinue the relevant functionality or the User may terminate the affected part of the Service.
17.17 In the event of an urgent change required for security, availability or legal compliance, Zyncport B.V. may engage a Subprocessor immediately and inform the User afterwards.
17.18 Zyncport B.V. implements appropriate technical and organisational security measures.
17.19 Zyncport B.V. will notify the User of a relevant personal data breach without undue delay after becoming aware of it.
17.20 The User is responsible for assessing whether a personal data breach must be reported to a supervisory authority or data subject.
17.21 Personal data is processed within the European Economic Area or subject to a valid transfer mechanism and appropriate safeguards.
Article 18. Data storage, security and backups
18.1 Zyncport B.V. stores data to the extent required for the Service, support, security, invoicing, logging and legal obligations.
18.2 Zyncport B.V. makes reasonable efforts to store data securely.
18.3 The User understands that no technical system is entirely free from security risks.
18.4 The User is responsible for:
a. strong passwords;
b. secure access;
c. correct user permissions;
d. security of its own devices;
e. security of its own networks;
f. security of the Shopify Store.
18.5 Zyncport B.V. may process logs, error messages, API responses, usage data and security data to:
a. monitor the Service;
b. detect misuse;
c. resolve errors;
d. improve performance;
e. record costs.
18.6 Backups, logs and technical data are not retained longer than necessary, unless longer retention is required for legal obligations, security, fraud investigations or disputes.
18.7 Zyncport B.V. is not required to restore deleted Content, Accounts or Shopify data.
18.8 The User remains responsible for maintaining its own backups of important Content and data.
18.9 Zyncport B.V. does not guarantee that every individual draft or previous version can be restored.
Article 19. Data export and switching
19.1 During an active Subscription, the User may export available data through the export functionalities of the Service.
19.2 Following termination, the User may request an export of available User data for a period of 30 days.
19.3 An export may include:
a. User Content;
b. Generated Content;
c. content planning;
d. relevant settings;
e. available reporting data;
f. integration information that can reasonably be transferred.
19.4 An export does not automatically include:
a. source code;
b. system prompts;
c. internal algorithms;
d. internal security information;
e. fraud detection signals;
f. data of other users;
g. trade secrets of Zyncport B.V. or Third Parties;
h. information that may not legally be provided.
19.5 Zyncport B.V. provides exports in a commonly used and technically available format.
19.6 Zyncport B.V. supports reasonable switching requests to the extent technically feasible and legally required.
19.7 Standard self-service exports are included in the Subscription.
19.8 Zyncport B.V. may charge pre-agreed fees for custom exports, manual migrations or technical assistance, to the extent legally permitted.
19.9 The User is responsible for downloading and securely storing export files in time.
19.10 After the export period, Zyncport B.V. may delete Account data, project data, drafts and connected data.
19.11 Data may be retained longer where required for:
a. administration;
b. security;
c. fraud investigation;
d. legal obligations;
e. disputes;
f. establishing or defending legal claims.
19.12 Zyncport B.V. may continue to retain anonymised and aggregated data after termination.
Article 20. AI transparency and statutory markings
20.1 Zyncport B.V. may provide Generated Content with technical metadata, labels, watermarks or other identification methods.
20.2 The User may not remove or manipulate legally required technical markings.
20.3 The User is responsible for visibly disclosing the use of AI where required by applicable law.
20.4 The User is responsible for transparency towards customers, readers and other parties where Content:
a. has been generated or manipulated by AI;
b. realistically imitates persons or events;
c. may be mistaken for human-created editorial content;
d. is subject to a legal disclosure obligation.
20.5 Zyncport B.V. may modify functionalities to comply with the European Artificial Intelligence Act and other applicable AI legislation.
20.6 Zyncport B.V. may block publication or generation where necessary for compliance with laws or supplier terms.
20.7 A block imposed for legal compliance does not entitle the User to compensation.
Article 21. Confidentiality
21.1 The Parties shall keep confidential information of the other Party confidential.
21.2 Information is confidential where this has been communicated, follows from the nature of the information or should reasonably be clear.
21.3 Confidential information includes:
a. product data;
b. customer data;
c. content strategies;
d. internal linking structures;
e. non-public prompts;
f. pricing arrangements;
g. technical information;
h. business information;
i. login details;
j. API keys;
k. non-public documents.
21.4 Confidentiality does not apply to information that:
a. is lawfully public;
b. was lawfully received from a Third Party;
c. was developed independently;
d. must be disclosed under law or a court order.
21.5 Zyncport B.V. does not share confidential information of the User with other users.
21.6 Zyncport B.V. may share confidential information with employees, Subprocessors, advisers and suppliers to the extent required for the Service and subject to appropriate confidentiality obligations.
Article 22. Support and maintenance
22.1 Zyncport B.V. provides support through the channels stated in the Service or on the website.
22.2 The primary support address is support@zynceo.com.
22.3 General business enquiries may be sent to team@zynceo.com.
22.4 Unless a separate SLA applies, response and resolution times are target times only.
22.5 Zyncport B.V. aims to respond to general support requests within one business day.
22.6 The level of support may differ per Subscription.
22.7 Zyncport B.V. may prioritise critical disruptions affecting multiple users.
22.8 Support includes assistance with the use of the Service and technical issues within Zynceo.
22.9 Support does not include by default:
a. custom SEO strategy;
b. Shopify theme customisation;
c. configuration of external apps;
d. marketing advice;
e. legal review of Content;
f. separate copywriting services;
g. manual correction of Shopify data;
h. correction of errors caused by the User or Third Parties.
22.10 Zyncport B.V. may offer custom work, consultancy and additional support for a separate fee.
Article 23. Fair use and misuse
23.1 Subscriptions are subject to fair use in addition to the stated Usage Limits.
23.2 Excessive usage is usage that:
a. materially exceeds normal usage by comparable Accounts;
b. affects the stability of the Service;
c. causes disproportionate costs;
d. is inconsistent with the selected Subscription.
23.3 Excessive usage may include:
a. extremely high numbers of AI generations;
b. extremely high numbers of API calls;
c. large-scale Shopify synchronisations;
d. large volumes of automatically generated Content;
e. publication behaviour resembling spam;
f. use of unauthorised scripts or bots;
g. usage exceeding ten times the average of comparable Accounts.
23.4 Zyncport B.V. may:
a. restrict excessive usage;
b. suspend excessive usage;
c. charge separately for excessive usage;
d. require a higher Subscription.
23.5 Where reasonable, Zyncport B.V. will inform the User before structural restrictions or additional charges are applied.
23.6 In the event of security risks, scraping, spam, API attacks or unauthorised automation, Zyncport B.V. may act immediately.
Article 24. Liability
24.1 Zyncport B.V. is only liable for direct damage that is the direct result of an attributable failure by Zyncport B.V.
24.2 Zyncport B.V. is not liable for:
a. indirect damage;
b. consequential damage;
c. loss of revenue;
d. loss of profit;
e. lost savings;
f. reputational damage;
g. lost orders or leads;
h. business interruption;
i. reduced SEO performance;
j. loss of rankings or indexing;
k. claims from customers of the User;
l. damage caused by external systems.
24.3 The total liability of Zyncport B.V. per event is limited to the amount actually paid by the User to Zyncport B.V. for the Service during the three months preceding the event causing the damage.
24.4 For a free plan, total liability is limited to EUR 100 per event.
24.5 Related events are considered one event.
24.6 Zyncport B.V. is not liable for damage caused by:
a. AI-generated Content;
b. Content published by the User;
c. Autopilot;
d. Shopify, AI providers and other Third Parties;
e. incorrect product data, prices, inventory or claims;
f. decisions based on analyses, scores or recommendations;
g. unauthorised access caused by insufficient security on the part of the User;
h. failure to review or remove Content;
i. reaching Usage Limits;
j. price changes or restrictions imposed by external suppliers.
24.7 The limitations of liability do not apply in the event of intent or deliberate recklessness by the management of Zyncport B.V.
24.8 Any claim for damages expires 12 months after the User became aware or could reasonably have become aware of the damage and its cause.
24.9 The User must first provide Zyncport B.V. with written notice of default and a reasonable period to remedy the failure, unless performance is permanently impossible.
Article 25. Indemnification
25.1 The User indemnifies Zyncport B.V. against claims, fines, costs, damage and demands from Third Parties arising from:
a. Content generated, published or used by the User;
b. infringement of intellectual property rights;
c. incorrect or misleading product information;
d. misleading commercial claims;
e. breach of privacy law by the User;
f. use contrary to laws and regulations;
g. use of Autopilot;
h. use in regulated markets;
i. actions of Team Members;
j. failure to obtain required consents or lawful bases.
25.2 The User reimburses reasonable costs incurred by Zyncport B.V. for legal assistance, investigation, communication and handling of claims covered by the indemnity.
25.3 Where reasonable, Zyncport B.V. will inform the User of a claim that may fall within this indemnity.
Article 26. Force majeure
26.1 Zyncport B.V. is not required to perform its obligations where performance is temporarily or permanently prevented by force majeure.
26.2 Force majeure includes:
a. disruptions involving hosting providers, AI providers, Shopify and payment providers;
b. cyberattacks, DDoS attacks, malware and security incidents;
c. power outages, internet outages, network issues and DNS issues;
d. government measures, sanctions and decisions by supervisory authorities;
e. war, terrorism, pandemics, natural disasters, fire and strikes;
f. shortages of computing power, chips, server capacity or AI capacity;
g. failures by suppliers on whom Zyncport B.V. reasonably depends;
h. other circumstances beyond the reasonable control of Zyncport B.V.
26.3 Obligations are suspended for the duration of the force majeure event.
26.4 If the force majeure event continues for more than 60 days, either Party may terminate the agreement In Writing.
26.5 Termination due to force majeure does not entitle the User to compensation.
26.6 Zyncport B.V. may apply a reasonable adjustment for demonstrably undelivered future services, to the extent permitted by Shopify and the technical payment method.
Article 27. Changes to the Service and terms
27.1 Zyncport B.V. may amend these General Terms and Conditions.
27.2 Amendments will be communicated at least 30 days in advance, unless an immediate amendment is required due to:
a. laws or regulations;
b. security;
c. misuse;
d. Shopify rules;
e. supplier terms;
f. technical necessity.
27.3 The User may terminate the Subscription before the effective date if the User does not accept a material amendment.
27.4 Continued use after the effective date constitutes acceptance of the amended terms.
27.5 Zyncport B.V. may require active confirmation at the next login, installation or renewal.
27.6 Zyncport B.V. may modify the Service, functionalities, Usage Limits, AI Models, suppliers and technical infrastructure.
27.7 Changes must remain reasonable within the selected Subscription, except where changes are required by law, security requirements or external suppliers.
Article 28. Communication
28.1 Zyncport B.V. may communicate through:
a. email;
b. dashboard notifications;
c. support tickets;
d. status pages;
e. Shopify notifications;
f. other digital channels.
28.2 The User is responsible for maintaining an up-to-date email address.
28.3 Messages sent to the last known email address are considered received.
28.4 The User must review important notices concerning fees, security and terms in a timely manner.
28.5 Legal notices may be sent to team@zynceo.com.
28.6 Support requests may be sent to support@zynceo.com.
Article 29. Assignment
29.1 The User may not assign rights or obligations without the written consent of Zyncport B.V.
29.2 Zyncport B.V. may assign rights and obligations to:
a. an affiliated company;
b. a legal successor;
c. a purchaser of the business;
d. a party continuing the Service.
29.3 The User gives advance consent to an assignment as referred to in Article 29.2.
29.4 Zyncport B.V. will inform the User of an assignment where legally or reasonably required.
Article 30. Governing law and disputes
30.1 All agreements, these General Terms and Conditions and all legal relationships are governed by Dutch law.
30.2 The Parties will first attempt to resolve a dispute through consultation.
30.3 The User must first submit a complaint or dispute In Writing to team@zynceo.com.
30.4 Zyncport B.V. will be given a reasonable period to respond to the complaint and propose a solution.
30.5 If consultation does not resolve the dispute, the dispute will be submitted to the competent court of the District Court of Overijssel, Zwolle location.
